DSM and Crucell Sign Agreement with Bioceros to Serve as Pre-Approved Cell Line Generation Partner of PER.C6® Cell Line Proteins

Leiden, The Netherlands/Parsippany, USA, 10 February 2009 - DSM Biologics and Crucell N.V. (Euronext, NASDAQ: CRXL; Swiss Exchange: CRX) announced today that they have entered into an agreement with Bioceros B.V. of Utrecht, The Netherlands to join their Vendor Network. Under the terms of the agreement, Bioceros will be a pre-approved cell line generation partner for licensees of the PER.C6® cell line located in the European Union.

The PER.C6® technology platform has been developed for the large-scale manufacture of biopharmaceutical products such as recombinant proteins, including monoclonal antibodies. Compared to conventional production technologies, the strengths of PER.C6® technology lie in its excellent safety profile, scalability and productivity under serum-free culture conditions. By employing the PER.C6® human cell line and DSM's proprietary XD(TM) technology, a record yield of over 27 grams per liter in the production of IgG antibodies has been achieved.

Other terms of the agreement were not disclosed.

Crucell Announces Research License Agreement with Bioceros on STAR® Technology.

Leiden, The Netherlands, 20 May 2008 - Dutch biopharma company Crucell N.V. (Euronext, NASDAQ: CRXL, Swiss Exchange: CRX) today announced a non-exclusive STAR® research license agreement with Bioceros. The license agreement with the Netherlands based company Bioceros covers the production of monoclonal antibodies. Financial details of the agreement were not disclosed.

Bram Bout (CEO and Chairman of the Management Board)
Since July 2007, Dr. Abraham (Bram) Bout is Chief Executive Officer at Bioceros. Prior to joining Bioceros, Bram Bout was Vice President Protein Production, Crucell Holland BV, The Netherlands, responsible for manufacturing of recombinant proteins on PER.C6®. He also managed industrial liaison programs, including the collaboration with DSM on protein manufacturing. Before that, Dr. Bout was director of the adenovirus research group. One of the first achievements in this area was the development of the PER.C6® cell line in collaboration with Prof. Van der Eb and Dr. R.C. Hoeben from Leiden University. AMSTERDAM (FD.nl/DJ)--DSM Biologics en Crucell nv hebben een overeenkomst gesloten met Bioceros bv. Het bedrijf uit Utrect gaat PERC6-cellijnen produceren en verkopen aan licentiehouders. Dat is dinsdag bekendgemaakt.

De PERC6-technologie van DSM en Crucell is ontwikkeld om op grote schaal biofarmaceutische producten te produceren.

LEIDEN (AFN) - Biotechnologiebedrijf Crucell en toeleverancier aan de farmacie-industrie DSM Biologics hebben een overeenkomst getekend met branchegenoot Bioceros voor de ontwikkeling van cellijnen op basis van Crucells PER.C6-technologie. Dat heeft de onderneming uit Leiden dinsdag bekendgemaakt.

Bioceros, gevestigd in Utrecht, krijgt een licentie voor de ontwikkeling voor afnemers uit in alle lidstaten van de Europese Unie. Financiële details zijn niet bekendgemaakt. Bioceros heeft overigens ook zelf een technologie ontwikkeld voor ontwikkeling van eiwitten.

Crucell gebruikt zijn technologie voor grootschalige ontwikkeling van onder meer eiwitten en antilichamen, die vervolgens geproduceerd, geschaald in jargon, worden door DSM Biologics. Volgens een woordvoerder van Crucell zal DSM dit schalen ook blijven doen voor afnemers die bij Bioceros aankloppen.

Ook nu weer de vraag: waarom?

Crucell had Bioceros ook als 'distributeur' c.q. 'verkoper' van Per.C6 kunnen inhuren, maar nee: Bioceros wordt feitelijk ingehuurd om een belangrijk onderdeel van Crucell's eigen werk te doen, toch?

Zou het kunnen dat een eventueel bod alleen op de vaccinetak van Crucell zal slaan? Men was ooit toch bezig Crucell op te splitsten in een BU vaccines en in een BU proteïnes. Niets meer van gehoord sinds de komst van Cees de Jong.

Verdwijnen van Bram uit Crucell was ook zo'n rare zaak, straks weten we misschien waarom.

Ja, beetje raar. Bij eventuele splitsing lijkt het logisch dat de hele Per.C6 licensing business naar DSM/Percivia gaat. Wellicht dat Bioceros ook van deze cluster gaat uitmaken: Bioceros gaat dan de initiele bijstand (maken van de cellijnen) verleend voor Europese klanten, DSM helpt bij de latere stappen (opzetten van de produktie). In de US verzorgt Percivia beide stappen. We zien het wel.

Tsja, het = en blijft speculeren door de steeds vagere perspublicaties - had van Oya wel wat meer inbreng verwacht dan IR-secretaresse spelen, overigens.

Feit is dat, zoals aossa al aangaf, van de business-units vaccins en proteïnes feitelijk niets meer vernomen is, na de aankondiging.

Ander feit is het best wel merkwaardige vertrek van Bram Bout naar Bioceros.

Deze feiten, gevoegd bij de zeer roerige overnameperikelen, doen de verklaring van DSM's Karen King een vragend/bevestigende glimlach opwekken...

Maar ja: het = en blijft speculeren, 'dank zij' de stalinistische 'communicatie' van Crucell!

Ik zou zeggen: een volgend stapje in de overgang van Crucell naar een licensie-bedrijf naar een ontwikkel/productie-bedrijf.

Josti, mijn glazen bol is nog wat troebel wat dat betreft. Ik zal straks de theeblaadjes trachten te analyseren ;-)

Maar mijn kleine teen zegt wel dat één en ander TE toevallig in een puzzle valt.

Imo moeten we teruggaan naar het moment dat Brus cs overliep van enthousiasme over de mogelijkheden van de proteïnetak cq biosimilars en de pogingen daarna om de businesses structureel te scheiden en te duiden. Samenvallend met de opmerkingen van ene Zeker over de interne keuken en feiten als de komst van Cees en het weggaan van Bram ... en met de bloedfactor V als mistery case. Intussen hebben de oorspronkelijke stichters ook hun eigen venture fund opgericht.

Conclusie: 'bill what you can bill' en onderbrengen waar men mee verder wil in desnoods een andere structuur om het verder tot rijpheid te brengen.

Just an humble opinion.

Brrr: met deze deal gaat vanaf heden toekomstig Per.C6-geld van Crucell naar Bioceros, en valt dus buiten de overnamedeal???

Volgende stap: bestaande licenties verdelen tussen DSM en Bioceros???

Blijft vervolgens nog over de ontrafeling van de samenwerkingsverbanden met o.a. Glaxo, Wyeth, Novartis, Sanofi...

Nou ja: dit alles zal wel in het overname PB gemeld worden.

Eigenlijk is Crucell wel verplicht, om alle (financiële) details van de deal met Bioceros bekend te maken, want dit lijkt mij zeeeeer koersgevoelige info.

Anyway: deze draad gaat ook weer in Josti's overnamezwartboek...

Waarbij mijn vertrouwen in MT/RvC verder onder 0 Celsius is gedaald: het PB van vandaag stinkt voor een beetje 'kenner'.

Leve de 'duidelijke communicatie' van Crucell, die dit soort speculaties mogelijk maakt!

Echt, LT Crucellvrienden, wij dienen zeker in deze periode verd... alert en kritisch te zijn op het reilen en zeilen van MT/RvC van Crucell, zeker 'dank zij' de inmiddels dramatisch beroerde 'communicatie' van Crucell, naar mijn inmiddels rotsvast gegroeide overtuiging bewust-beroerd.
Mijn gutfeeling zegt, dat MT/RvC inmiddels al lang een deal hebben afgesloten, waarvan de Ondernemingsraad hoogstwaarschijnlijk nog geen weet heeft, maar het old boy's network, bijeen sinds de Berna-overname, wel degelijk.

Overigens, hoe een Ondernemingsraad tot stand komt, kan ik nog wel eens een openbarend stukkie schrijven...

Disclaimer: de inmiddels wel zeer grote communicatie-vaagheid van Crucell's MT + RvC laat bovbenstaande beschouwingen toe, sterker nog: bevordert deze!

Geloof me: het wordt nog hard werken, voor onze rechtvaardige euro's!

Ik neem toch aan, dat grootaandeelhouders en instituten ook zien, wat wij (denken te) zien: bewust-gaande ontwaarding van Crucell richting niet-beursgenoteerde bedrijven???

Maar ten dele. Ik neem aan dat als Bioceros voor bedrijf X een Per.C6 cellijn maakt om antibody Y te maken, bedrijf X nog steeds een Per.C6 licentie bij Crucell nodig heeft. Hoe de vergoeding aan Bioceros eruit ziet (eenmalige bedrag, milestones, royalties, combinatie) weet ik niet, maar als de totale kosten voor bedrijf X constant blijven, zal er inderdaad minder voor Crucell overschieten.

In het algemeen: Ik zou er toch iets meer van uit gaan dat Crucell deals afsluit (inclusief deze) die lucratief zijn voor Crucell.

Dit soort stapjes maakt een splitsing en daardoor een soepelere overname wel makkelijker.

Ook het HA_programma kun je zien als een actie in het kader van de voorbereiding van een TO. Vaak is het een voorwaarde van de overnemende partij dat je eerst je eigen winkel schoon veegt.

Die proteinetak wil nog niet zo uitlopen overigens.
factor V is hersendood, en heb nog enkel teken in de theebladeren gezien dat Crucell zelf aan de biosimilar-productie gaat.
Dus het enige wat we nu hebben zijn rabies antibodies en preclinical fluantibodies. Zeer veelbelovend, maar om het nou een proteinetak te noemen...

EDIT: vergeet ik nog het programma met Medimmune over anti-ziekenhuis-infectie antibodies.

(Euronext, NASDAQ: CRXL; Swiss Exchange: CRX) announced today that they have entered into an agreement with Avid Bioservices, Inc. of Tustin, California to join their Vendor Network. Under the terms of the agreement, Avid will be a pre-approved contract manufacturer (CMO) for licensees of the PER.C6® cell line located in the western U.S. Avid is the first U.S.-based contract manufacturer to be awarded this status.

Was volgens mij ook duidelijk dat proteïnetak reeds bestaat via Crucell-DSM alliantie en PERCIVIA. Zoals je ook zelf aanhaalt dat de overeenkomst met Bioceros de Europese tegenhanger van Percivia kan zijn. Imo zijn biosimilars en andere nog in rijpingsstadium en niet direct via een Crucell overname geldig te maken (bill what you can bill and keep what you can't bill). Mogelijk dat Crucell niet in zijn geheel wordt overgenomen maar in delen en de PER.C6 business in een zelfstandig Crucell blijft, al sluit ik niet uit dat dit Crucell mogelijk van de beurs wordt gehaald.
